Welcome to ZYNK.

These Terms of Service ("Terms") govern your access to and use of the ZYNK AI Marketing Operating System website, platform, and services (collectively, the "Service"), provided by ZYNK Pte. Ltd. ("ZYNK," "we," "us," or "our").

1. Description of Service

ZYNK is an AI-powered marketing operating system designed to assist businesses in generating content, strategizing campaigns, and automating marketing workflows. The Service utilizes Artificial Intelligence ("AI") technologies, including Large Language Models (LLMs) and image generation models, to process user inputs and generate outputs.

2. Accounts and Registration

• Eligibility: You must be at least 18 years old to use the Service.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account.
• Accuracy: You agree to provide accurate, current, and complete information during the registration process.

3. User Content and "Brand Brain"

A. Your Content

You retain all ownership rights to the documents, brand guidelines, text, images, and other materials you upload to the Service to build your "Brand Brain" ("User Content").

B. License to ZYNK

By uploading User Content, you grant ZYNK a worldwide, non-exclusive, royalty-free license to host, copy, process, and use your User Content solely for the purpose of providing the Service to you (e.g., generating marketing copy in your brand voice).

C. Data Privacy

We do not use your proprietary "Brand Brain" data to train our foundational AI models for the benefit of other customers without your explicit consent. Your data is isolated to your workspace context.

4. AI-Generated Content

A. Ownership of Output

Subject to your compliance with these Terms and payment of applicable fees, ZYNK assigns to you all its right, title, and interest in and to the content generated by the Service based on your inputs ("Output"). You own the marketing assets created by ZYNK.

B. Accuracy Disclaimer (No Warranty)

C. Similarity

Due to the nature of AI, distinct users may generate similar content. You acknowledge that similar Output generated for other users does not constitute a breach of your rights.

5. Subscription, Credits, and Payments

A. Subscription Plans

ZYNK offers various subscription tiers (e.g., Starter, Pro, Enterprise). You agree to pay the fees associated with your selected plan.

B. Credit System

The Service operates on a credit-based system. Actions within the platform (e.g., generating an image, running an agent) consume credits.

• Rollover: Unused credits may or may not roll over to the next month depending on your specific plan details.
• No Cash Value: Credits have no currency value and are not refundable or transferable.

C. Cancellation

You may cancel your subscription at any time. Your access will continue until the end of the current billing cycle. There are no refunds for partial months or unused credits upon cancellation, except where required by law.

6. Acceptable Use Policy

You agree not to use the Service to:

• Generate content that is illegal, defamatory, pornographic, or promotes violence/hate speech.
• Infringe upon the intellectual property or privacy rights of others.
• Reverse engineer, decompile, or attempt to discover the source code of the Service.
• Use the Service to build a competitive product.
• Overburden or disrupt the integrity of our infrastructure (e.g., DDoS attacks).

7. Third-Party Integrations

The Service may integrate with third-party platforms (e.g., Google, YouTube, Meta, Naver).

• Google/YouTube: If you use ZYNK to manage YouTube content, you agree to be bound by the YouTube Terms of Service.
• Liability: ZYNK is not responsible for the availability, accuracy, or practices of these third-party platforms. Your use of them is subject to their respective terms and privacy policies.

8. Intellectual Property Rights

Except for your User Content and Output, the Service (including the ZYNK software, "Mission Control" interface, algorithms, Runtime Profiles, and logos) is the exclusive property of ZYNK and its licensors.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL ZYNK'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO ZYNK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ZYNK, its officers, directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or a notice on the platform. Your continued use of the Service constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law principles.
